Oracle Audit Defense From Former LMS Insiders

Oracle LMS builds audit claims on the most expensive reading of every deployment. Our former LMS managers control the data, dispute the methodology, and settle Oracle audits at a fraction of the opening claim.

Average Oracle audit settlement: 28% of the original claim.

Across our Oracle LMS engagements, clients settle audits at an average of 28% of Oracle's initial claim, a 72% reduction. Oracle's License Management Services (LMS) and Global Licensing and Advisory Services (GLAS) teams are measured on recovered revenue, so the opening claim is built on the most expensive interpretation of every ambiguous deployment. That number is a negotiating position, not a debt. Treated correctly, most of it disappears.

The single most expensive mistake is responding to the first audit letter without representation. The data you hand Oracle in week one frames the entire settlement. We intervene before any scripts are run or measurement data is shared, control the evidence Oracle receives, and dispute the methodology line by line. Our advisors are former Oracle LMS managers who built these audits, so they know which findings hold and which collapse under challenge.

Audit defense is one part of our wider Oracle licensing practice. Most engagements also surface renewal and ULA opportunities, which is why audit clients frequently move into Oracle negotiation and ULA work.

What We Defend Against

  • LMS and GLAS formal audits, from notification to settlement
  • Oracle Database EE, options, and packs over-deployment claims
  • Java SE Universal Subscription audits and back-billing
  • VMware and soft-partitioning processor disputes
  • ULA certification challenges and over-counting
  • Named User Plus minimum and metric reclassification
  • Cloud and BYOL deployment counting disputes

How Oracle audits actually work, and where they break.

Four findings drive the overwhelming majority of Oracle audit value. Each is contestable.

Database options and packs

Oracle Diagnostics, Tuning, Partitioning, and Advanced Security are frequently enabled by default or by a DBA without a corresponding license. Oracle claims full processor licensing for any usage. We establish actual usage, dispute incidental access, and cap exposure to genuine deployment.

VMware and soft partitioning

Oracle asserts that every physical core in a VMware cluster must be licensed. This policy is not contractual, it is a sales position. We document the technical boundary of the workload and challenge cluster-wide claims that routinely overstate liability by 5 to 20 times.

Java SE per-employee

Since the 2023 per-employee model, Oracle prices Java across your entire headcount, not Java users. Audit claims arrive with multi-million dollar back-bills. We assess true deployment, scope a migration to OpenJDK alternatives, and negotiate the liability down to actual use.

Methodology and measurement

LMS scripts over-report. They count standby, test, and disaster-recovery environments that may carry licensing exemptions, and they apply the Core Factor Table aggressively. We re-run measurement independently and reconcile every line against your contracted entitlements.

Three phases of Oracle audit defense

1. Contain

From the first LMS letter we manage all Oracle contact, pause data sharing, and review your contracts and entitlements before Oracle sees anything. Nothing goes to Oracle without passing through us first.

2. Counter-measure

We run an independent measurement, identify Oracle's over-reach on options, virtualization, and Java, and build the technical and contractual case that reduces the claim.

3. Settle

We negotiate the settlement as a commercial event, trading remediation against renewal and cloud commitments so you capture value rather than simply paying a penalty.

Global manufacturer cuts a $9.6M Oracle claim to $2.1M

Oracle LMS opened an audit with a $9.6M claim driven by Partitioning and Diagnostics Pack usage across a VMware estate and an unlicensed Java SE footprint. We paused all data sharing, re-ran the measurement independently, and demonstrated that the Partitioning claim rested on default-enabled features never used in production and that the cluster-wide VMware position was unsupported by the contract.

Final settlement landed at $2.1M, structured as cloud credits against a future OCI commitment rather than a cash penalty, a 78% reduction with the residual value redirected into the client's own roadmap.
